1. The Service

ApprovGD is a cloud-based spend request approval management platform provided by Showerspro Global Resources Limited ("we", "us", "our"), a company registered in Nigeria with its principal office at 2 Erin-Ile Street, Fate-Tanke, Ilorin, Kwara State.

The Service allows organisations to submit, review, approve, reject and track spend requests digitally, replacing manual or WhatsApp-based approval processes.

2. Account Registration

To use ApprovGD, the company owner must register an account and create a company profile. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials confidential
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 18 years old and have the authority to bind your organisation to these terms.

3. Subscription Plans and Payment

ApprovGD is offered on the following plans:

• Starter (Free) — limited to 3 users with basic features, available indefinitely
• Growth — ₦9,900/month or ₦95,040/year, up to 10 users
• Business — ₦19,900/month or ₦190,800/year, up to 30 users
• Enterprise — ₦39,900/month or ₦382,800/year, unlimited users

All paid plans include a 14-day free trial. No payment is required during the trial period. After 14 days, your subscription will begin and payment will be due.

Payments are processed securely through Paystack. By subscribing, you authorise us to charge your chosen payment method on a recurring basis until you cancel.

We reserve the right to change pricing with 30 days notice to existing subscribers. Price changes will not affect your current billing period.

4. Free Trial

New accounts on paid plans are eligible for one 14-day free trial. At the end of the trial, you will be charged for your selected plan unless you cancel before the trial ends. We will send a reminder email 3 days before your trial expires.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then.

We do not offer refunds for partial months or unused annual subscription periods except where required by Nigerian consumer protection law.

After cancellation, your data is retained for 90 days during which you may export it. After 90 days, your data is permanently deleted.

6. Acceptable Use

You agree to use ApprovGD only for lawful business purposes. You must not:

• Use the Service for any illegal activity or to facilitate fraud
• Attempt to gain unauthorised access to any part of the Service
• Reverse engineer, copy or reproduce the Service or its source code
• Resell or sublicense access to the Service without our written permission
• Upload or transmit harmful, offensive or unlawful content
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

7. Intellectual Property

ApprovGD and all its content, features, code and design are the exclusive property of Showerspro Global Resources Limited and are protected by Nigerian and international intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your organisation's internal business purposes only. No ownership rights are transferred to you.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service to you.

8. Availability and Uptime

We aim to provide a reliable Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, emergency repairs or circumstances beyond our control.

We will endeavour to notify users in advance of scheduled maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law, Showerspro Global Resources Limited shall not be liable for any indirect, incidental, special or consequential damages arising from your use of the Service, including but not limited to loss of data, loss of revenue or business interruption.

Our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Data Protection

We process your personal data in accordance with our Privacy Policy and the Nigeria Data Protection Regulation (NDPR). By using the Service, you consent to such processing.

11. Governing Law

These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kwara State, Nigeria.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you by email at least 14 days before significant changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms.
